Mundane State Matters

Postby Wolfe » Sat Sep 27, 2008 12:55 pm

Because I used to do such things for work and because I keep the information listed on the Imperial Site as part of the "Start Your Own Chapter" section, I check to see what states we are registered in.

As of this posting, the states are:
Texas - http://ecpa.cpa.state.tx.us/coa/servlet/cpa.app.coa.CoaGetTp?Pg=tpid&Search_Nm=empire%20of%20&Button=search&Search_ID=18606674549
Illinois - Verifiable at http://www.ilsos.gov/corporatellc/CorporateLlcController
Oregon - http://egov.sos.state.or.us/br/pkg_web_name_srch_inq.show_detl?p_be_rsn=1339340&p_srce=BR_INQ&p_print=FALSE
Arizona - http://starpas.azcc.gov/scripts/cgiip.exe/WService=wsbroker1/names-detail.p?name-id=05229520&type=CORPORATION
*Update* Nevada - https://esos.state.nv.us/SOSServices/AnonymousAccess/CorpSearch/CorpDetails.aspx?lx8nvq=f1QVSNIjjtHXXWFsawsV9Q%253d%253d

The States that need attention are:
Washington - No corporate listing
Utah - No corporate listing

If you see a state listed as needing attention and it is in good standing, please post here with the link so I know where to look for future reviews.

As far as I know we have no members in Florida, or Virginia anymore.

We did not really get much interest in recruitment until now. Otto will take care of Utah very soon now that we have members.

I believe that Lady Lark is correct.
I do not believe that we have a presence in Florida or Virginia.
As a result, we should not need any filings in those states.
HRM Coniach informed me last night that Zinger is currently taking care of the paperwork for Washington.
I anticipate that problem will be resolved within the next 30 to 45 days.
Dame Chimera and Lord Sir Otto will be taking care of the filing for Utah.
In terms of Nevada, I believe that Duke and Duchess of Cithara will be taking care of filing.
If not, I anticipate that I will be taking care of that problem in the near future.

Can we please get confirmation from HRM Mina, the IMoR, regarding Florida and Virginia?

Also, California currently has one lifetime member, although to my knowledge she is not doing any recruiting nor is she attempting to maintain any sort of ECS presence.

I believe we actually have 2 members in California, but neither of them are doing anything within California, the only participation is in Nevada events.

The Corporate paperwork for Nevada was filed over the weekend.
It should be processed early this upcoming week.
Utah should be taken care of shortly.
In terms of California, the trigger is not the presence of members within a state.
We have members in several states and countries, i.e. Pennsylvania, Wisconsin, Michigan, England, Germany, Iraq, et. al.
The question is whether the Corporation is conducting formal active on-going activities within the state, i.e. holding demonstrations, conducting class work, conducting formal fighter practices, formally participating in Renn Faires and other events as the ECS.
The filing of paperwork as a foreign corporation takes money and time.
In some states, it costs quite a bit of money.
In foreign countries, the formal requirements are a bit complex.
If we do not have a formal presence within a state, there is no need to file paperwork in that state.
If we do, then we should be filing paperwork as a foreign corporation.

Utah's Corporate paperwork was mailed today. I need to ask if the new members for Capella have been processed.
